Terms & Conditions

Welcome to Ayers & Co. LLC (“Ayers & Co.,” “Company,” “we,” “our,” or “us”). By accessing this website or purchasing any services offered by Ayers & Co., you agree to be bound by the following Terms & Conditions. These Terms govern your use of this website and any services provided, including but not limited to Precision Headhunting, Fractional Talent Advisory, and Resume & Career Advisory services. If you do not agree to these Terms, please do not use this website or purchase services.
No Guarantee of Employment or Hiring Outcomes
For Career Advisory Clients:
Ayers & Co. does not guarantee interviews, job offers, employment, compensation levels, or hiring outcomes. Results depend on market conditions, client effort, employer decisions, and other external factors outside of our control.
For Hiring Clients:
Ayers & Co. does not guarantee long-term employee retention, performance outcomes, or business results resulting from a placement.
Payment Terms:
Career Advisory Services:

Full payment is required at the time of booking.

Fees are non-refundable once the session has been delivered.

Rescheduling requires at least 24 hours’ notice.

Failure to attend a scheduled session without notice may result in forfeiture of the session fee.
Precision Headhunting Services:

Placement fee: 22% of the candidate’s agreed-upon first-year base salary.

A $2,000 engagement fee is required to initiate the search.

The engagement fee is credited toward the final placement fee.

The remaining balance is due within 10 business days of the candidate’s official start date unless otherwise agreed in writing.
Replacement Policy (Headhunting Services)
If a placed candidate voluntarily resigns or is terminated for cause within 30 days of employment start date, Ayers & Co. will conduct one replacement search at no additional placement fee.
This policy does not apply if:

The role is materially changed after hire

Compensation is altered post-offer

The company undergoes restructuring, layoffs, or budget changes

Termination is due to company-level decisions unrelated to candidate performance
Ongoing Advisory Access
For Career Advisory clients, the one-time session includes limited ongoing email access for clarification and execution guidance as the client implements the strategy discussed.
This does not include:

Unlimited resume rewrites
-
Full resume drafting
-
Ongoing job application management
-
Long-term consulting engagements
Ayers & Co. reserves the right to recommend additional paid services if support exceeds reasonable follow-up guidance.
Confidentiality
Ayers & Co. agrees to treat client and candidate information as confidential and will not disclose proprietary information without consent, except as required by law.
Clients agree not to share proprietary recruiting processes, materials, or frameworks provided by Ayers & Co.
Intellectual Property
All materials, frameworks, documents, branding, and recruiting methodologies provided by Ayers & Co. remain the intellectual property of the Company.
Materials provided through advisory services are for personal or internal business use only and may not be resold, redistributed, or reproduced without written consent.
Limitation of Liability
To the fullest extent permitted by law, Ayers & Co. shall not be liable for:

Employment decisions

Hiring outcomes

Business losses
-
Lost profits
-
Career decisions
-
Indirect, incidental, or consequential damages
Total liability, if any, shall not exceed the total amount paid to Ayers & Co. for the specific service giving rise to the claim.
Independent Contractor Status
Ayers & Co. operates as an independent contractor. Nothing in these Terms shall be construed as creating a partnership, joint venture, or employer-employee relationship between Ayers & Co. and any client or candidate.
Website Use
Users agree not to misuse this website, attempt unauthorized access, distribute malicious content, or use this site for unlawful purposes.
Ayers & Co. reserves the right to modify, suspend, or discontinue website access at any time.
Modifications to Services or Terms
Ayers & Co. reserves the right to update service offerings, pricing, or these Terms & Conditions at any time. Updates will be reflected on this page with a revised effective date.
Governing Law
These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the State of South Carolina, without regard to conflict of law principles.
Any disputes arising from these Terms shall be resolved in the appropriate courts located in South Carolina.
